Club Constitution
Article 1 – Name of Club
1.1 The name of the club shall be known as “Drogheda Boys Football Club” (The Club).
Article 2 – Object of Club
2.1 The main object for which the club is established is to promote football among schoolboys and schoolgirls. The club will, through the provision of the highest standard of football, coaching and facilities available, endeavour to facilitate schoolboys and schoolgirls reach their full playing potential.
2.2 All matches played by Drogheda Boys Football Club will be played under the jurisdiction of the Dublin and District Schoolboys League and all other Leagues as deemed necessary by the Executive Committee and according to the laws of the game.
Article 3 – Annual General Meetings
3.1 The Club shall in each year hold an Annual General (AGM) of the Members. This meeting will be held in the month of May each year to

Approve the minutes of the previous year’s AGM.

Receive reports from the Chairperson and Secretary(s).

Receive a report from the Treasurer and approve the Annual Accounts.

Elect the Executive Committee.

Appoint someone responsible for certifying the Clubs accounts.
-
Fix the registration and member fees for the ensuing year.
-
Consider changes to the Constitution.
-
Review and consider any Club rules.
-
Deal with other relevant business.
3.2 The AGM will be called by giving at least 14 days notice to each member.
3.3 One Third of the Membership shall be required for a quorum, (e.g. if there are 45 members, one third, i.e. 15 must be in attendance for the meeting to be quorate for the purposes of decision making.)
3.4 Every AGM shall elect an Executive Committee which shall have full powers to manage and direct the business of the Club.
3.5 The Executive Committee shall comprise of least seven officers, namely, Chairperson, Secretary, Treasurer, P.R.O., Vice Chairman, Registrar, Child Welfare Officer, and Assistant Secretary. These Officers will elected in the sequence above.
3.6 The meeting may, if deemed necessary, also elect a Director of Coaching, Assistant Treasurer, Fixture Secretary and Grounds man to non executive positions within the Club.
3.7 All decisions of any AGM shall be determined by majority vote. Each Member of the Club shall have only one vote. This vote shall be undertaken by secret ballot. The Chairperson of the meeting shall however, only be entitled to a casting vote.
3.8 Nominations for officers must be received in writing by the secretary at least 14 days prior to the AGM being held and will be circulated to the membership prior to the meeting. Any changes/additions sought to the Constitution must be received in writing 14 days prior to the AGM.
3.9 Changes and/or additions to this Constitution shall require a two thirds voting majority of paid up members in attendance at the meeting for acceptance.
Article 4 – Extraordinary General Meetings
4.1 All other general meetings of the membership shall be known as extraordinary general meetings (EGM). An EGM shall be called by the Executive Committee:

At its own discretion or
-
On receipt of an application to the Secretary, signed by at least one third of the membership, stating their reasons for calling an EGM.
Members shall be given at least 7 days notice of an EGM.
4.2 All decisions of an EGM shall be determined by majority vote. Each member of the club shall have only one vote. This vote will be undertaken by secret ballot. The Chairperson of the meeting shall however, only be entitled to a casting vote.
Article 5 – Chairperson at Meetings
5.1 The Chairperson of the Club shall preside as Chairperson at every AGM, EGM and every Executive Committee of the Club. In his/her absence, the Vice Chairperson shall preside. Should both the Chairperson and the Vice Chairperson be absent from an EGM or Executive Committee meeting, the members present shall choose another officer of the Club to preside at the meeting.
Article 6 – Membership
6.1 Members of the Executive Committee, Managers, coaches, mentors, parents/guardians of registered players and players having paid any appropriate membership subscription and/or levy as required by the Executive Committee will be considered members of Drogheda Boys Football Club.
6.2 Members of Drogheda Boys FC will be either Junior members, i.e. registered as players with Drogheda Boys FC, or Senior members, i.e. any person other than those designated as Junior members. Any reference in the Constitution of Drogheda Boys FC to membership or member means Senior member.
6.3 The Club Registrar shall maintain a listing of all club members and players.
6.4 The annual subscription fee, if any, for the year shall be determined by resolution of the members present and voting at the AGM.
6.5 Membership is Annual and applies for the 12 month period 1st August to 31st July.
6.6 Members who, without giving prior notice to the Secretary, fail to attend three consecutive EGMs during the year shall not be entitled to vote at the following AGM.
6.7 All members, Junior and Senior, are bound by the Club Constitution, Club Rules, Club Code of Conduct and the Club Grievance and Disciplinary Procedure and Code of Practice.
Article 7– Finances
7.1 The financial year shall run from 1st May to 30th April.
7.2 The Treasurer shall be responsible for the preparation of Annual Accounts of the Club.
7.3 The accounts shall be certified by an appropriate independent person and approved at the AGM.
7.4 The Treasurer shall keep in the name of Drogheda Boys Football Club, at a minimum, both a Current Account and Savings Bank Account with such Bank as approved by the Executive Committee. All funds belonging to Drogheda Boys FC shall be lodged therein.
7.5 All cheques drawn on Club funds must be signed by the Treasurer and one of the following members of the Executive Committee, Chairperson or Secretary.
7.6 The Treasurer shall be required to submit financial reports to the Executive Committee as and when required.
7.7 Every officer and Executive Committee Member shall be indemnified by the Club against incidental expenses incurred in the performance of their duties. All expense claims must be approved by an independent officer of the Club.
Article 8 – Authority
8.1 The Executive Committee shall have full power to take any action they consider necessary for the good running of the Club. They shall have the power to fine, expel or suspend any club member or player whom they deem to be guilty of misconduct. They shall have the power to legislate for any contingency not provided for in the rules. Any club member has the right to appeal to the Schoolboy Football Association of Ireland against any decisions made by the Executive Committee of Drogheda Boys.
8.2 The business of the Executive Committee will be carried out at meetings held regularly. No business will be enacted at any Executive Committee unless a quorum of Committee members is present, five (5) being a quorum. Matters requiring decision will be decided by consensus in the first instance or in the absence of consensus by simple majority vote of those Executive Committee members present. Where a vote is tied the Chairperson of the meeting will have a casting vote.
Article 9 – Assets and Liabilities
9.1 The properties of the Club shall be vested in the Officers, namely the Chairperson, secretary, Vice Chairperson, Treasurer, PRO, Registrar, Child Welfare Officer and Assistant Secretary.
9.2 In the event of the Club becoming insolvent, each and every member shall be liable for its debts in equal shares.
Article 10 – Club Rules
10.1 The Club will also be governed by club rules so as to ensure the smooth running of the Club. These club rules will be recorded in the minutes of AGM, EGMs and Executive Committee Meetings and may be agreed and enacted by a simple majority vote. Any such rules shall not be in contravention of any Articles in the Club Constitution.
Article 11 – Team Management
11.1 Team managers, their assistants and coaches will be appointed by the Executive Committee informed by the recommendations of the Director of Coaching. All personnel so appointed shall be or shall become full members of Drogheda Boys FC.
Article 12 – Income and Property
12.1 The income and property of the Club shall be applied solely towards the promotion of its main object(s) as set forth in this Constitution. No portion of the Club’s income and property shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit, to members of the Club. No Officer shall be appointed to any office of the Club paid by salary or fees, or receive any remuneration or other benefit in money or money’s worth from the Club. However, nothing shall prevent any payment in good faith by the Club of:

Reasonable and proper remuneration to any member, officer or servant of the Club (not being an officer) for any services rendered to the Club;

Interest at a rate not exceeding 5% per annum on money lent by Officers or other members of the Club to the Club;

Reasonable and proper rent for premises demised and let by any member of the Club (including any Officer) to the Club;

Reasonable and proper out-of-pocket expenses incurred by any Officer in connection with their attendance to any matter affecting the Club;

Fees, remuneration or other benefit in money or money’s worth to any Company of which an Officer may be a member holding not more than one hundredth part of the issued capital of such Company.
Article 13 – Winding up
13.1 If upon winding up or dissolution of the Club there remains, after the satisfaction of all its debts and liabilities, any property whatsoever, it shall not be paid or distributed among the members of the Club. Instead such property shall be given or transferred to some other institution or institutions having main objects similar to the main objects of the Club. The institution or institutions to which the property is to be given or transferred shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as is imposed on the Club under or by virtue of Clause 12 hereof. Members of the Club shall select the relevant institution or institutions at or before the time of dissolution, and if and so far as effect cannot be given to such provisions, then the property shall be given or transferred to some charitable object.
Article 14 – Additions, alterations or Amendments
14.1 No addition, alteration or amendment shall be made to the provisions of this Constitution for the time being in force unless the same shall have been previously approved in writing by the Revenue Commissioners.
Article 15 – Keeping of Accounts
15.1 Annual accounts shall be kept and made available to the Revenue Commissioners on request.
The above Constitution of Drogheda Boys Football Club was approved by members at an Extraordinary Members Meeting on 28th January 2014.
